Contract and Terms of Sale – Custom Scores
1. Subject of the Contract
This contract governs the supply of custom musical scores, created by the Provider (TheScoreLoom™) based on the Customer’s information and requests. It includes professional consultation and the delivery of the score in PDF format, secured with a timestamp and digital signature.
2. Types of Scores and Licensing
2.1 Ready to Play Scores
- Published and distributed via authorized platforms (e.g., ArrangeMe, Hal Leonard, Sheet Music Plus).
- License provided is a Standard Performance License, governed by the distributor; non-exclusive to any specific ensemble.
- Use is permitted for live performance; resale, reproduction, or distribution to third parties is strictly prohibited.
- Payment is handled via the distributor; no direct transfer to TheScoreLoom™ is required for the standard Ready to Play license.
- Arrangements contribute to the TheScoreLoom™ catalog for global distribution.
2.2 Tailored Scores
- Custom arrangements adapted for a specific ensemble's instrumentation.
- If the work involves third-party copyrighted material, distribution is managed via authorized platforms (ArrangeMe). The license granted is a Standard Performance License.
- Payment for the tailored arrangement is made directly to TheScoreLoom™ via bank transfer. After payment, the PDF/license for copyrighted content on ArrangeMe must be acquired separately via the distributor. Invoice is issued upon receipt of the bank transfer.
- Use is permitted for live performance; resale or distribution to third parties is prohibited.
- TheScoreLoom™ reserves the right to include these arrangements in its catalog, respecting distributor rules.
2.3 Bespoke Scores
- Fully commissioned original works or arrangements created exclusively for the client.
- Note: Bespoke works are handled through private contract and are not sold via public stores like ArrangeMe.
- Full payment for the bespoke score is made directly to TheScoreLoom™ via bank transfer. The PDF is delivered by email. Invoice is issued upon receipt of payment.
- Exclusive use may be granted for a period agreed upon at the time of order. After the exclusivity period, the Provider reserves the right to publish, adapt, or distribute the work unless otherwise agreed in writing.
2.4 Copyright and Third-Party Rights
For arrangements of copyrighted songs, sale and distribution are strictly subject to the terms of the ArrangeMe (Interactive Media Partners) platform. TheScoreLoom™ guarantees the legality of distribution through these authorized channels. The ensemble must respect the copyright notices of the original authors as printed on the score.
2.5 Credits and Attribution
- In concert programs, recordings, or public performances, the ensemble must credit the original composer and arranger as indicated on the score.
- Minor internal adjustments or editions must not remove or obscure the composer/arranger credit or TheScoreLoom™ branding.
3. Delivery and Usage Rights
The final PDF is delivered via email or an agreed platform, featuring a timestamp and digital signature. A digital backup is permitted for the exclusive use of the ensemble indicated in the order. Sharing, lending, or distributing the file to third-party ensembles or individuals is strictly prohibited and constitutes a breach of contract.
4. Revisions
4.1 Minor Revisions (Included)
Notation corrections, page layout, adding guides/cues, doublings, octave transpositions, compatible instrument substitutions, and minor key changes.
4.2 Extraordinary Revisions (Not Included)
Significant stylistic/harmonic adaptations, ensemble conversion, adding new sections, or re-arranging the structure. These are treated as new commissions.
5. Price and Payment
Payment is accepted via bank transfer only. The purchase price covers professional consultation, creative labor, and the specific license for the ensemble's use.
6. Intellectual Property
- The score remains the intellectual property of the Provider under Italian Law (L. 633/1941, art. 12).
- Violations, including unauthorized PDF sharing, constitute civil and criminal offenses. TheScoreLoom™ will seek damages for any copyright infringement.
- All use outside the granted license requires written permission from TheScoreLoom™.
7. Refunds
Due to the digital and custom nature of the work, no refunds are provided for subjective dissatisfaction. Any technical errors or notation mistakes will be corrected promptly under the minor revisions policy.
8. Governing Law and Jurisdiction
This contract is governed by Italian law (Codice Civile arts. 1470 & 2575; Legge n. 633/1941). Any disputes shall be submitted to the exclusive jurisdiction of the Provider's local court.
9. Acceptance
By confirming an order or clicking “I accept the terms”, the Customer acknowledges they have read and agreed to these terms in full.
